1. Acceptance of terms

These Terms of Service ("Terms") govern your access to and use of the UrSpayce website, applications and services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.

2. Use of the Services

You may use the Services only in compliance with these Terms and all applicable laws. You agree not to:

• Use the Services in any way that violates applicable law or regulation;
• Attempt to gain unauthorized access to the Services or related systems;
• Interfere with or disrupt the integrity or performance of the Services;
• Reverse engineer, copy or resell any part of the Services except as permitted by law or a separate agreement.

3. Accounts

Certain features require an account provided by UrSpayce or your organization. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

4. Customer agreements

Where your organization has entered into a separate master subscription or order agreement with UrSpayce, that agreement governs the provision of the paid Services and controls in the event of any conflict with these Terms.

5. Intellectual property

The Services, including all software, text, graphics, logos and content, are owned by UrSpayce or its licensors and are protected by intellectual-property laws. Except for the rights expressly granted to you, we reserve all rights, title and interest in the Services.

6. Third-party services

The Services may integrate with or link to third-party products and services. We are not responsible for third-party services, and your use of them is governed by their own terms.

7. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement, to the maximum extent permitted by law.

8. Limitation of liability

To the maximum extent permitted by law, UrSpayce and its affiliates will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of the Services.

9. Indemnification

You agree to indemnify and hold harmless UrSpayce and its affiliates from any claims, damages, liabilities and expenses arising out of your use of the Services or your violation of these Terms.

10. Termination

We may suspend or terminate your access to the Services at any time if you breach these Terms or use the Services in a manner that may cause harm. Upon termination, the rights granted to you under these Terms will cease.

11. Governing law

These Terms are governed by the laws applicable to UrSpayce's principal place of business, without regard to conflict-of-laws principles. Any disputes will be subject to the exclusive jurisdiction of the competent courts in that location, unless a separate customer agreement provides otherwise.

12. Changes to these Terms

We may modify these Terms from time to time. The updated Terms will be posted on this page with a revised "Last updated" date. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
